Terms and conditions of sale

These Terms and Conditions of Sale govern the relationship between Synara (Maxime Nollevaux, Charleroi, Belgium — hereinafter “Synara”) and any professional individual or legal entity using its services (hereinafter “the Client”). Any order implies unreserved acceptance of these terms.

Synara provides design, web development, integration, search optimisation (SEO/GEO), monitoring and maintenance services, as well as custom business applications. The exact deliverables, timelines and terms are set out in the quote or signed proposal.

Quotes are valid for 30 days unless stated otherwise. An order becomes binding upon signature of the quote (handwritten or electronic) and payment of the agreed deposit. Any change to the initial scope is covered by an additional quote.

Prices are expressed in euros, excluding VAT. Belgian VAT is applied where the service is subject to it. Monthly plan prices are those displayed on the site at the time of the order.

Unless stated otherwise in the quote: a 40% deposit is due on order and the balance on delivery; recurring services are invoiced monthly. In case of late payment, late interest and a fixed compensation may be charged, and Synara may suspend the services. Final deliverables (go-live, transfer of ownership) are handed over after full payment.

Timelines are indicative and depend in particular on the Client's responsiveness, the validation of each stage and the delivery of content. Any delay attributable to the Client shifts the schedule accordingly.

Each key stage (mockups, development, go-live) is approved by the Client. Any written approval counts as final acceptance. The number of included review rounds is stated in the quote; any request outside the scope is covered by an additional quote.

Deliverables (designs, code, produced content) are transferred to the Client after full payment, for the uses set out in the quote. Synara retains ownership of its methods, reusable components and know-how. Unless refused in writing, Synara may reference the project in its portfolio.

Each party keeps confidential the information exchanged during the collaboration, throughout the relationship and for three years after it ends.

Synara is bound by a best-efforts obligation. Its liability is limited to direct damages and to the total amount invoiced for the relevant service. Indirect damages (loss of business, loss of third-party data, etc.) are excluded. The Client remains responsible for the content and data it provides.

Monthly plans may be stopped with 30 days' notice. If the Client terminates, amounts already paid remain due to Synara and completed work is payable. In case of a serious breach, either party may terminate after a formal notice that has remained without effect for 15 days.

Neither party may be held liable for a breach caused by a force majeure event (major outage, natural disaster, war, etc.).

Data exchanged during the project is processed in accordance with the GDPR. The Client remains responsible for the data it processes in the delivered tools. See the legal notice for details.

These terms are governed by Belgian law. In case of dispute, the parties first seek an amicable solution; failing that, the courts of the Charleroi district have jurisdiction.
